1. Agreement to Terms
By engaging Inspire Made By Sudarshan Ltd ("Inspire MBS", "we", "us", "our") for any service — whether through our website, by email, WhatsApp, or any other means — you ("the Client") agree to be bound by these Terms and Conditions in full. If you do not agree, do not proceed with any engagement.
2. Services
Inspire Made By Sudarshan Ltd provides digital services including but not limited to: website development, social media management, video production, graphic design, drone content, AI systems, and digital strategy. The specific scope of work for each engagement is agreed upon in writing (via email, proposal, or invoice) prior to commencement.
We reserve the right to decline any project at our discretion.
3. Payment Terms
All projects require a 50% non-refundable deposit before work begins. The remaining 50% balance is due upon completion, before final files or site access are delivered.
- Deposits are required in advance for all one-time projects.
- Monthly retainer fees are due at the start of each billing month.
- Invoices unpaid within 7 days of the due date may result in work being paused.
- All prices are quoted in USD unless explicitly stated otherwise.
- Prices are subject to change. Existing agreements are honoured at the quoted rate.
4. Website Care Plan
All website packages include a monthly care plan which covers domain registration, hosting, security, backups, and minor updates. The care plan is required to keep your website live and active.
- Care plan fees are billed monthly: Launch websites from $75/mo · Business websites from $100/mo · E-Commerce websites from $150/mo.
- The care plan begins on the date your website goes live.
- Your website and domain are hosted and managed by Inspire MBS for the duration of the care plan.
- If the care plan is cancelled, the website will remain live for 30 days following the cancellation date, after which it will be taken offline.
- Inspire MBS is not liable for any loss of business or revenue resulting from a website going offline due to non-payment of the care plan.
5. Refund Policy
All deposits are strictly non-refundable. No refunds are issued once work has commenced.
Given the nature of creative and digital services — where time, skill, and resources are committed immediately — Inspire MBS does not offer refunds once a project has started. This applies to all services including websites, social media, video production, and design.
Inactive projects: If a Client pays a deposit and fails to respond to communications or provide required materials within 30 days, the deposit is forfeited in full. The project will be considered abandoned. Should the Client wish to restart at a later date, a new deposit will be required.
If you are dissatisfied with a deliverable, we will work with you within the agreed revision rounds to address reasonable concerns. Additional revisions beyond the scope are chargeable.
In the rare event that Inspire MBS is unable to complete a project due to circumstances on our end, any unused portion of payments received will be refunded at our discretion.
6. Revisions & Scope
Each package includes a defined number of revision rounds as stated in the proposal or pricing page. Revisions must be requested within 7 days of delivery. Requests outside of scope — including additional pages, new sections, or significant design changes — are considered separate work and will be quoted accordingly.
Inspire MBS will not begin revisions until any outstanding balance is settled.
7. Client Responsibilities
To deliver work on time, the Client agrees to:
- Provide all required content (text, images, logos, brand assets) within 5 business days of project start.
- Respond to revision requests and approvals within 7 business days.
- Designate a single point of contact for all communication.
Delays caused by the Client's failure to provide timely feedback or materials will not be counted against our agreed delivery timeline.
8. Intellectual Property
Upon receipt of full and final payment, all completed deliverables are transferred to the Client. Inspire MBS retains the right to display completed work in our portfolio, website, and marketing materials unless otherwise agreed in writing.
Any third-party assets (stock images, fonts, music, plugins) used in the project are subject to their respective licences. We will advise accordingly.
9. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement. Inspire MBS will not share your business information, data, or content with third parties without your consent, except where required by law.
10. Limitation of Liability
Inspire MBS is not liable for any indirect, incidental, or consequential damages arising from the use of our services or deliverables. Our total liability to any Client shall not exceed the total amount paid by that Client for the specific project in question.
We are not responsible for third-party service failures including hosting providers, payment processors, domain registrars, or social media platforms.
11. Termination
Either party may terminate a project or care plan engagement with 30 days written notice. In the event of termination:
- Work completed up to the termination date will be charged at the agreed rate.
- The deposit is non-refundable in all cases.
- For website care plan cancellations, the website will remain live for 30 days following notice of cancellation and will be taken offline thereafter.
- Final deliverables for non-website projects will only be transferred upon full payment of work completed.
12. Governing Law
These Terms and Conditions are governed by the laws of the Republic of Trinidad and Tobago. Any disputes shall be subject to the jurisdiction of the courts of Trinidad and Tobago.
